Alibaba Gains Shareholder Backing for 10% Issue and Buy-Back Flexibility, Re-elects Three Directors

Alibaba Group Holding Limited reported that all resolutions presented at its Annual General Meeting on 22 September 2026 were approved by substantial majorities, securing fresh capital management flexibility and board continuity.

The meeting authorised the Board to issue, allot or transfer up to 1.99 billion additional ordinary shares—equivalent to 10% of the 19.89 billion shares outstanding—at a discount no greater than 10% to the benchmark price. A parallel mandate allows repurchase of up to the same 1.99 billion shares during the authorised period. These proposals received 97.6% and 99.8% of votes cast “For,” respectively.

Shareholders re-elected Maggie Wei Wu, Kabir Misra and Weijian Shan as Group III directors until the 2029 AGM, each garnering 97.3%–98.2% support.

The appointment of PricewaterhouseCoopers Zhong Tian LLP (U.S.) and PricewaterhouseCoopers (Hong Kong) as the company’s independent auditors was the only proposal to attract notable opposition, passing with 71.2% in favour and 28.7% against.

Overall meeting participation was robust: 12.53 billion ordinary shares—about 65.3% of shares outstanding as of the 5 August 2026 record date—were voted in person or by proxy. Approximately 297 million ADSs (each equal to eight ordinary shares) were voted under a discretionary proxy granted to Chief Executive Officer Eddie Yongming Wu, following the terms of the deposit agreement with Citibank, N.A.

Pursuant to Hong Kong Listing Rules, 518.54 million shares held by the trustee of Alibaba’s equity incentive schemes abstained from all votes. No other shareholders were required to abstain, nor had any declared an intention to vote against the resolutions in advance.

Alibaba maintains a weighted voting rights (WVR) structure through the Alibaba Partnership’s director-nomination rights. Its ordinary shares trade in Hong Kong, while its American depositary shares (ADSs), each representing eight ordinary shares, are listed on the New York Stock Exchange under the ticker BABA.

The Board now comprises Chairman Joseph C. Tsai, CEO Eddie Yongming Wu, J. Michael Evans, Maggie Wei Wu, and six independent directors including the three newly re-elected members.
