1) Their 'revolutionary' BTC strategy is a house of cards built that's reliant on the continued rise of Bitcoin. This bubble WILL burst, only a question of "when".

2) CEO – a shady character with a checkered past. A quick Google search will tell you all that you need to know.

3) Share dilution makes it a double whammy. Look at their share outstanding history.
