Telix Pharmaceuticals (ASX:TLX) announced a strategic agreement to merge with ITM Isotope Technologies Munich SE in a deal valued at US$1.65 billion on a cash-free, debt-free basis.
The transaction represents a major expansion compared to ITM’s US$273 million revenue generated in 2025.
Telix Managing Director and Group CEO Dr. Christian Behrenbruch said, “This merger positions Telix at the forefront of the consolidation that is occurring as the industry matures.”
The acquisition enhances vertical integration and secures core therapeutic supply chains, according to the company.
Under the terms, ITM shareholders will receive approximately US$1.25 billion in Telix shares priced at US$11.84 each, alongside potential earn-outs of up to US$700 million tied to regulatory and milestone targets.
The transaction remains subject to Telix shareholder approval and customary closing conditions.
Following the announcement, the Telix Pharmaceuticals share price was down at $16.63.
ITM operates a global distribution network spanning over 65 countries and produces therapeutic radioisotopes, including lutetium-177.
The German-based target recorded a 40% compound annual growth rate in revenue between 2021 and 2025.
